Help upgrading my Pc - WooT - 02-19-2009

Ight guys i have been building these pc for a while now with some basic parts, but now im really goin for looks and power with this pc. Here are my specs:

Processor: Celeron D 356 3.33Ghz
Ram: 2 gig (max)
Harddrive: Hitachi Deskstar P7K500 (500 Gig)
Graphics: Geforce 6200 Oc
Fans: 1. 120mm, 1. 80mm blue led 1. Thermotake Cyclo HD Cooler 1. Stock Masscool Cpu Fan
PSU: Stock 300 Watt (120mm Fan)
Pc Case: In Win Ferrari F430 Gaming Case
Temp Sensor: XION Flip up Colored LCD Thermal Control Panel
MoBo: Foxxcon P4M800P7MA

Now that you checked out my rig, #1 what do you think of my pc?
#2 What should i upgrade, i was thinking Mobo. Thanks for any replies

Really don't want a PSU under 500W in today's gaming world. And stay away form any proc that says Celeron in the future.
