Your most likely problem is that your character files are for an old patch of D2.

To convert your characters to patch V1.10, do the following:

1) Start D2 and login to Battle Net. This will automatically upgrade your D2 to the V1.10 patch.

2) Start a D2 game, and load and save/exit each of your Single Player characters. This will convert each of your characters to V1.10 patch too.

3) Then you should be able to open your Single Player characters in Hero Editor. If you weren't aware, your Single Player characters are also used for Open and TCP/IP games. Hero Editor can NOT be used to edit your Closed character files.
